Australian Philanthropic Services Limited (ACN 155 905 829) (APS) was registered under the Corporations Act 2001 as a public company limited by guarantee on 24 February 2012. APS is a not-for-profit company endorsed by the Australian Charities and Not-for-profits Commission (ACNC) as a Tax Concession Charity and by the Australian Tax Office as a Deductible Gift Recipient (DGR) Item 1.
As a company limited by guarantee, APS is not owned by shareholders and there are no shares. Instead, like most non-profits and charities, the Constitution of APS provides for the Company to be controlled by Members, who guarantee a nominal sum of money to the Company in the event of its becoming insolvent or winding up. APS must hold an Annual General Meeting each year where Members elect Directors who provide oversight for the Company and its operations and set delegation to the CEO for the day-to-day management of the company’s activities. The APS Directors are featured on our Board page.
Australian Philanthropic Services Foundation (ABN 38 981 887 768) (APS Foundation) is a public ancillary fund with DGR Item 2 status and is a registered charity with the Australian Charities and Not-for-profits Commission.
Australian Philanthropic Services Foundation Pty Limited (ACN 158 036 349) is the trustee of the APS Foundation and is a wholly-owned subsidiary of Australian Philanthropic Services Limited (ACN 155 905 829) (APS).
